Official statement of Hucke AG on the business situation

At the end of the 2005/2006 financial year, the Hucke Group posted EBIT of €-11.5 million on sales of €116.3 million (previous year: EBIT of €-5.0 million on sales of €130.2 million). The negative result is attributable to market-related sales losses and restructuring expenses incurred in the reporting period. The six-month financial statements for the 2006/2007 financial year as at 31 October 2006 report sales of €52.5 million (previous year: €60.5 million). It has thus not been possible to halt the negative sales performance in the first half of the current financial year. The present forecasts are based in the assumption that, due to market conditions, year-on-year sales will be down by a total of around 7% by the end of the 2006/2007 financial year.

The negative results situation is also impacting the Company's liquidity position and resulting in existence-threatening liquidity risks, in particular through the combination of lower cash inflows from the operating business and high payments.

The overall situation of the Hucke Group necessitates a radical corporate restructuring. The restructuring measures introduced to date have proved to be less extensive than required.

Accordingly, the auditor mandated with the audit of the annual and consolidated financial statements has declared its intention not to issue an audit certificate for the annual and consolidated financial statements for the year ending 30 April 2006.

In light of the overall Group situation, the Management Board and Supervisory Board of Hucke AG have decided to postpone the Annual General Meeting and the publication of the Annual Report for the current time. The Annual General Meeting will only be held when detailed statements on extensive restructuring measures and the future orientation of the entire Group can be presented to the shareholders. The Annual General Meeting of Hucke AG is therefore provisionally scheduled for the beginning of 2007.
